Bear Country Metalworks Operations App: End-User License Agreement

This End-User License Agreement ("Agreement") covers the Bear Country Metalworks Operations App (the "App"), the internal web app at app.bearcountrymetalworks.ca that Bear Country Metalworks ("we", "us") uses to run its business, including creating vendor purchase orders and bills and connecting them to QuickBooks Online. By connecting the App to a QuickBooks Online company, signing in to the App, or using it, you agree to this Agreement. If you do not agree, do not connect or use the App.

1. Who may use the App

The App is built for Bear Country Metalworks' own operations. It may only be used by Bear Country Metalworks and the staff, contractors and vendors we give an account to. It is not sold or offered to the public. Anyone using it on behalf of Bear Country Metalworks must have authority to do so, and only a QuickBooks Online admin of our company may connect or disconnect the QuickBooks Online integration.

2. License

We grant you a limited, revocable, non-exclusive, non-transferable licence to use the App for Bear Country Metalworks business purposes while you have an account or access we have given you. We keep all rights in the App that this Agreement does not expressly grant.

3. Restrictions

You may not:

  • share your sign-in details or let anyone else use your account;
  • copy, modify, resell, rent or sublicense the App;
  • reverse engineer or try to get the App's source code, except where the law allows it;
  • try to get around security, access limits or rate limits, or access data you are not authorized to see;
  • use the App to break any law or the terms of any service it connects to, including the Intuit and QuickBooks Online terms.

4. QuickBooks Online and other services

The App connects to QuickBooks Online through Intuit's official API, using a secure authorization (OAuth 2.0) that a QuickBooks Online admin approves. We do not see or store your Intuit password. Your use of QuickBooks Online is covered by Intuit's own terms and privacy statement. QuickBooks and QuickBooks Online are trademarks of Intuit Inc. The App is not made, endorsed or supported by Intuit.

5. Your data and privacy

How the App collects, uses, stores and protects QuickBooks Online data and other information is explained in the Bear Country Metalworks Operations App Privacy Policy, which forms part of this Agreement. Data in your QuickBooks Online company stays yours.

6. Disconnecting and termination

You can disconnect the App from QuickBooks Online at any time, either inside the App or in QuickBooks Online (Apps, then My apps, then Disconnect). When the App is disconnected, it stops reading or writing QuickBooks Online data, and we delete its access tokens for that company as described in the Privacy Policy. We may suspend or end anyone's access to the App at any time, for example when someone no longer works with us. Sections 5 and 7 to 11 stay in effect after termination.

7. Disclaimer

The App is provided "as is" and "as available". To the extent the law allows, we make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise the App will be error-free or always available. Check purchase orders, bills and other records the App creates in QuickBooks Online before you rely on them for accounting or tax purposes.

8. Limitation of liability

To the extent the law allows, Bear Country Metalworks will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from use of the App. Our total liability for any claim about the App is limited to one hundred Canadian dollars (CAD $100).

9. Governing law

This Agreement is governed by the laws of the Province of Manitoba and the federal laws of Canada that apply there. The courts of Manitoba have exclusive jurisdiction over any dispute about it.

10. Changes

We may update this Agreement from time to time. We will post the updated version on this page and change the effective date above. Continuing to use the App after a change means you accept the updated Agreement.
